Position Summary
We are seeking an experienced and proactive Senior Paralegal to join our legal team. This role will support the legal department in reviewing, drafting, and negotiating a wide range of corporate and commercial agreements, including NDAs, MSAs, SaaS agreements, SOWs, and new legal frameworks for emerging technologies such as AI. The ideal candidate will have a strong background in corporate legal operations, particularly within the SaaS industry, and be comfortable negotiating legal terms with client banks to align with Finzly’s business objectives.
Key Responsibilities
- Review, draft, and negotiate a variety of legal documents, including:
- NDAs, MSAs, SaaS Agreements, SOWs, and amendments
- Terms & Conditions for new product offerings (e.g., AI-related services)
- Support the legal team in corporate governance, compliance, and regulatory matters
- Collaborate with internal stakeholders (Sales, Product, InfoSec, Finance) to align legal terms with business goals
- Lead or support negotiations with client banks and third parties, advocating for Finzly’s preferred positions
- Maintain and organize legal templates, contract databases, and version control
- Conduct legal research and provide summaries or recommendations as needed
- Assist in due diligence and corporate transactions as required
Qualifications
- Minimum 10 years of experience in corporate legal work, with at least 5 years in a SaaS or technology company
- Strong understanding of B2B SaaS business models, licensing, and data privacy considerations
- Proven experience negotiating commercial contracts with financial institutions or regulated entities
- Excellent written and verbal communication skills
- Highly organized, detail-oriented, and able to manage multiple priorities
- Bachelor’s degree required; Paralegal certification or legal studies degree preferred
Preferred Skills
- Familiarity with financial services regulations and InfoSec requirements
- Experience supporting legal operations or contract lifecycle management tools
- Ability to work independently and exercise sound judgment in a fast-paced environment
